Faria Beede Sentry Telematics App - End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you, the individual or entity ("Licensee" or "You") and Riverside MFG., LLC, with its principal place of business at 14510 Lima Rd. Fort Wayne, In 46818 ("Licensor," "We," "Us," or "Our"), for the use of the Faria Beede Sentry Telematics mobile application (the "App").

By installing, accessing, or using the App, You agree to be bound by the terms and conditions of this EULA. If You do not agree to the terms of this EULA, do not install, access, or use the App.

1. Grant of License

Subject to the terms and conditions of this EULA, Licensor hereby grants to You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the App on a single mobile device owned or controlled by You, solely for your personal, non-commercial use.

2. License Restrictions
  • a) Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or algorithms of the App (except to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation).
  • b) Modify, adapt, translate, or create derivative works based on the App.
  • c) Rent, lease, lend, sell, redistribute, or sublicense the App.
  • d) Copy, reproduce, or distribute the App (except as expressly permitted by this EULA).
  • e) Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on the App.
  • f) Use the App for any illegal or unauthorized purpose.
  • g) Use the App in any manner that could disable, overburden, damage, or impair the App or interfere with any other party's use of the App.
3. Intellectual Property Rights

The App, including all copyrights, patents, trademarks, trade secrets, and other intellectual property rights associated therewith, are and shall remain the sole and exclusive property of Licensor and its licensors. This EULA does not grant You any ownership interest in the App, but only a limited license to use it in accordance with the terms of this EULA.

4. Updates and Maintenance

Licensor may from time to time provide updates or upgrades to the App that may include bug fixes, enhancements, new features, or other modifications. You agree that Licensor has no obligation to provide any updates or maintenance services for the App, nor to provide You with any error corrections, patches, bug fixes, or other maintenance. However, if Licensor does provide such updates, this EULA shall govern any such updates, unless separate terms accompany them, in which case those terms will apply.

5. Termination

This EULA is effective until terminated by You or Licensor. Your rights under this EULA will terminate automatically without notice from Licensor if You fail to comply with any provision of this EULA. Upon termination of this EULA, You must cease all use of the App and destroy all copies, full or partial, of the App.

Licensor may terminate this EULA at any time and for any reason, with or without notice.

6. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ASSUME ALL RISK AS TO THE QUALITY AND PERFORMANCE OF THE APP.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA OR OTHER INFORMATION, FOR PERSONAL INJURY, LOSS OF PRIVACY ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE APP, THIRD-PARTY SOFTWARE AND/OR THIRD-PARTY HARDWARE USED WITH THE APP, OR OTHERWISE IN CONNECTION WITH ANY PROVISION OF THIS EULA), EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF THE REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU.

8. Indemnification

You agree to indemnify, defend, and hold harmless Licensor, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with Your access to or use of the App, Your violation of this EULA, or Your infringement of any intellectual property or other right of any person or entity.

9. Governing Law

This EULA shall be governed by and construed in accordance with the laws of United States of America without regard to its conflict of law principles.

10. Entire Agreement

This EULA constitutes the entire agreement between You and Licensor regarding the use of the App and supersedes all prior and contemporaneous written or oral understandings and agreements relating to its subject matter.

11. Severability

If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions of this EULA will remain in full force and effect.

12. Waiver

No waiver of any term or condition set forth in this EULA shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Licensor to assert a right or provision under this EULA shall not constitute a waiver of such right or provision.
